However, the unusual price movements witnessed during the closing auction in several stocks over the first two trading sessions have raised important questions. Since the official closing price serves as the benchmark for settlement, portfolio valuation, derivatives pricing, and risk management, every market participant must have complete confidence in the integrity of this process.
The concerns being raised by retail investors and traders should not be viewed as opposition to reform. Rather, they should be treated as constructive feedback aimed at making the system more robust. After all, investor confidence is the foundation of every successful capital market.
Key Risks Emerging Under the New System
1. Sudden Changes in Closing Prices
A significant gap can now emerge between the Last Traded Price (LTP) during continuous trading and the official closing price determined through the auction.
This directly affects:

If the official closing price consistently differs materially from the continuously traded market price, it is reasonable to question how representative that closing price truly is.

To improve transparency, SEBI, NSE and BSE should publish the following information after every trading session:
- Total auction turnover
- Number of participating trading members
- Complete participant-wise transaction data, including company names and number of shares traded
- Buy-sell imbalance statistics
- Difference between the Last Traded Price and the official closing price
- NSE vs. BSE closing price comparison
- Stocks showing unusually large auction adjustments
- Auction volume as a percentage of total daily trading volume
- Cases where auction prices materially diverged from continuous market prices
Such disclosures would help distinguish genuine price discovery from temporary liquidity-driven distortions.

Independent Review Committee
SEBI should constitute an independent review committee comprising representatives from:

Ideally, the committee should include professionals with 30–40 years of market experience who have remained independent of any market-related institution for roughly the past decade. The committee should review the first six months of implementation and publish its findings in a public report.

SEBI should publicly commit to reviewing the system after six months based on measurable criteria such as:
- Auction liquidity
- Price efficiency
- Market volatility
- Surveillance findings
- Investor feedback
Minimum Liquidity Standards
If auction participation in a stock falls below a predefined threshold, SEBI could consider:
- Hybrid price discovery mechanisms
- Additional safeguards before accepting auction prices as the official close
Encouraging Retail Participation
The exchanges should improve retail participation through:

3 अगस्त 2026 से भारतीय शेयर मार्केट में एक बड़ा बदलाव लागू हुआ। SEBI ने NSE और BSE के एफ एंड ओ (F&O) शेयरों के लिए क्लोजिंग ऑक्शन सेशन (Closing Auction Session – CAS) शुरू किया। इस सुधार का उद्देश्य बिल्कुल स्पष्ट था – शेयरों की क्लोजिंग प्राइस को अधिक निष्पक्ष तरीके से तय करना, दिन के अंत में संभावित प्राइस मैनिपुलेशन को रोकना और भारतीय पूंजी बाजार को वैश्विक मानकों के अनुरूप बनाना।
इस सुधार की मंशा निश्चित रूप से सराहनीय है। बेहतर प्राइस डिस्कवरी और मजबूत मार्केट इंटीग्रिटी हर निवेशक के हित में है। लेकिन नई व्यवस्था लागू होने के पहले ही दो कारोबारी दिनों में जो घटनाक्रम सामने आए, उन्होंने कई महत्वपूर्ण सवाल खड़े कर दिए हैं। बाजार बंद होने के अंतिम मिनटों में कुछ शेयरों में असामान्य उतार-चढ़ाव देखने को मिला। इससे यह संकेत मिला कि सुधार का उद्देश्य भले सही हो, लेकिन इसकी वर्तमान व्यवस्था को और अधिक सावधानी से परखने की आवश्यकता है।
हर बड़ा मार्केट सुधार शुरुआती दौर में चुनौतियों से गुजरता है। लेकिन जब किसी व्यवस्था का सीधा असर ऑफिशियल क्लोजिंग प्राइस पर पड़ता हो – जो सेटलमेंट, पोर्टफोलियो वैल्यूएशन, रिस्क मैनेजमेंट और डेरिवेटिव्स सेटलमेंट का सबसे महत्वपूर्ण आधार होती है – तब यह बेहद जरूरी हो जाता है कि इस पूरी प्रक्रिया पर सभी मार्केट पार्टिसिपेंट्स का भरोसा बना रहे।
खुदरा निवेशकों और ट्रेडर्स की चिंताओं को बदलाव का विरोध मानने के बजाय, नियामकों को इन्हें सकारात्मक सुझाव के रूप में देखना चाहिए। आखिरकार, किसी भी पूंजी बाजार की सबसे बड़ी ताकत निवेशकों का विश्वास ही होता है।
नई व्यवस्था से सामने आए प्रमुख जोखिम
1. क्लोजिंग प्राइस में अचानक बदलाव
कंटीन्यूअस ट्रेडिंग की लास्ट ट्रेडेड प्राइस और ऑक्शन के बाद तय हुई ऑफिशियल क्लोजिंग प्राइस में बड़ा अंतर आ सकता है।
इसका सीधा असर पड़ता है –
- मार्क-टू-मार्केट प्रॉफिट-लॉस
- पोर्टफोलियो वैल्यूएशन
- डेरिवेटिव्स सेटलमेंट
- ओवरनाइट पोजीशन
- अगले दिन की ट्रेडिंग रणनीति
यदि क्लोजिंग प्राइस लगातार ट्रेड हो रही मार्केट प्राइस से काफी अलग हो, तो उसकी प्रतिनिधिकता (Representativeness) पर सवाल उठना स्वाभाविक है।
2. ओवरनाइट रिस्क बढ़ना
लाखों ट्रेडर्स फ्यूचर्स और ऑप्शंस की पोजीशन रातभर होल्ड करते हैं।
यदि ऑक्शन के कारण क्लोजिंग प्राइस बदल जाती है, तो अगले दिन नए रेफरेंस प्राइस के साथ ट्रेडिंग शुरू होती है। इससे अतिरिक्त मार्जिन, अधिक अनिश्चितता और ओवरनाइट रिस्क बढ़ सकता है।
3. शुरुआती चरण में कम लिक्विडिटी
क्लोजिंग ऑक्शन तभी प्रभावी होती है जब पर्याप्त लिक्विडिटी और व्यापक भागीदारी हो।
यदि शुरुआती चरण में भागीदारी सीमित रहती है, तो मामूली बाय-सेल इम्बैलेंस भी कीमतों में असामान्य बदलाव ला सकता है। इससे प्राइस डिस्कवरी की विश्वसनीयता प्रभावित हो सकती है।
4. इंस्टीट्यूशनल एडवांटेज
बड़े इंस्टीट्यूशनल इन्वेस्टर्स के पास –
- एडवांस्ड ट्रेडिंग एल्गोरिदम
- क्वांटिटेटिव मॉडल
- डेडिकेटेड डीलिंग डेस्क
- उच्च पूंजी
- बेहतर रिस्क मैनेजमेंट सिस्टम
उपलब्ध होते हैं।
इसके विपरीत अधिकांश रिटेल इन्वेस्टर्स के पास न रियल-टाइम ऑक्शन एनालिटिक्स होती है और न ही ऑक्शन ऑर्डर डायनेमिक्स की पर्याप्त जानकारी। यह टेक्नोलॉजी और सूचना की असमानता पैदा करती है।
5. NSE–BSE क्लोजिंग प्राइस में अंतर
यदि दोनों एक्सचेंजों पर क्लोजिंग ऑक्शन के परिणाम अलग-अलग आते हैं, तो इससे –
- आर्बिट्राज के अवसर
- ETF और इंडेक्स फंड में ट्रैकिंग एरर
- वैल्यूएशन में अंतर
- हेजिंग की जटिलताएँ
- निवेशकों में भ्रम
- पैसिव फंड्स की अतिरिक्त लागत
जैसी समस्याएँ उत्पन्न हो सकती हैं।
6. फ्यूचर्स और ऑप्शंस पर प्रभाव
क्लोजिंग प्राइस का उपयोग –
- ऑप्शन सेटलमेंट
- फ्यूचर्स मार्क-टू-मार्केट

इसलिए ऑक्शन आधारित प्राइस मूवमेंट का प्रभाव पूरे डेरिवेटिव्स मार्केट तक पहुँच सकता है, विशेषकर वीकली और मंथली एक्सपायरी के दिनों में।
7. ट्रांसपेरेंसी की कमी
अधिकांश रिटेल इन्वेस्टर्स आज भी नहीं जानते –
- ऑक्शन प्राइस कैसे तय होती है?
- बाय-सेल इम्बैलेंस का कितना प्रभाव पड़ता है?
- ऑक्शन में कौन भाग लेता है?
- क्या पर्याप्त लिक्विडिटी उपलब्ध है?
जब जानकारी सीमित होती है, तब अटकलें बढ़ती हैं और भरोसा घटता है।
8. रिटेल इन्वेस्टर्स का विश्वास
मार्केट वोलैटिलिटी स्वीकार की जा सकती है, लेकिन प्रक्रिया पर अनिश्चितता नहीं।
यदि निवेशकों को लगे कि दिन की सबसे महत्वपूर्ण प्राइस ऐसी व्यवस्था से तय हो रही है जिसे वे न समझते हैं और न उसमें प्रभावी भागीदारी कर सकते हैं, तो धीरे-धीरे उनका विश्वास कमजोर पड़ सकता है।
अब जरूरत है अधिक ट्रांसपेरेंसी की
इस अचानक किये गए बदलाव में एक अजीब सी मैनीपुलेशन या स्कैम की गंध आ रही है अतः नई व्यवस्था के शुरुआती कुछ महीनों को ऑब्जर्वेशन पीरियड माना जाना चाहिए।
SEBI, NSE और BSE को प्रत्येक ट्रेडिंग दिवस के बाद निम्नलिखित आंकड़े सार्वजनिक करने चाहिए –
- कुल ऑक्शन टर्नओवर
- भाग लेने वाले ट्रेडिंग मेंबर्स की संख्या, उनके द्वारा किये गए सौदों की पूरी जानकारी जिसमें कंपनी का नाम और शेयर्स की संख्या की स्पष्ट जानकारी
- बाय-सेल इम्बैलेंस
- लास्ट ट्रेडेड प्राइस और क्लोजिंग प्राइस का अंतर
- NSE–BSE क्लोजिंग प्राइस तुलना
- असामान्य ऑक्शन एडजस्टमेंट वाले शेयर
- कुल ट्रेडिंग वॉल्यूम में ऑक्शन की हिस्सेदारी
- ऐसे मामले जहाँ ऑक्शन प्राइस कंटीन्यूअस मार्केट प्राइस से काफी अलग रही
अधिक ट्रांसपेरेंसी से वास्तविक प्राइस डिस्कवरी और लिक्विडिटी आधारित अस्थायी बदलावों के बीच अंतर स्पष्ट होगा।
आवश्यक सुरक्षा उपाय
स्वतंत्र समीक्षा समिति
SEBI को एक्सचेंजों, ब्रोकर्स, इंस्टीट्यूशनल इन्वेस्टर्स, रिटेल इन्वेस्टर संगठनों, शिक्षाविदों और मार्केट विशेषज्ञों की एक स्वतंत्र समिति जिसमें ऐसे लोग जो 3 – 4 दशकों का अनुभव रखते हैं तथा पूर्णतः निष्पक्ष यानि पिछले लगभग एक दशक से शेयर बाजार से सम्बंधित किसी भी संस्था से प्रत्यक्ष या अप्रत्यक्ष रूप से जुड़ा ना हो, गठित करनी चाहिए, जो पहले छह महीनों की समीक्षा कर सार्वजनिक रिपोर्ट जारी करे।
छह महीने बाद औपचारिक समीक्षा
SEBI को पहले से घोषित करना चाहिए कि छह महीने बाद निम्न आधारों पर व्यवस्था की समीक्षा होगी –
- ऑक्शन लिक्विडिटी
- प्राइस एफिशिएंसी
- वोलैटिलिटी
- सर्विलांस निष्कर्ष
- इन्वेस्टर फीडबैक
न्यूनतम लिक्विडिटी मानक
यदि किसी शेयर में ऑक्शन भागीदारी पूर्व निर्धारित सीमा से कम हो, तो हाइब्रिड प्राइस डिस्कवरी या अतिरिक्त सुरक्षा उपायों पर विचार किया जाना चाहिए।
स्मॉल इन्वेस्टर्स / रिटेल भागीदारी बढ़ाना
एक्सचेंजों को –
- जागरूकता अभियान
- सरल ऑर्डर प्लेसमेंट
- रियल-टाइम एजुकेशनल सामग्री
के माध्यम से रिटेल भागीदारी बढ़ानी चाहिए।
इन्वेस्टर एजुकेशन
निवेशकों को स्पष्ट रूप से बताया जाना चाहिए –
- क्लोजिंग ऑक्शन कैसे काम करती है।
- ऑफिशियल क्लोजिंग प्राइस कैसे तय होती है।
- ओवरनाइट पोजीशन के जोखिम क्या हैं।
- ऑक्शन ऑर्डर कैसे लगाए जाते हैं।
- कंटीन्यूअस ट्रेडिंग और ऑक्शन ट्रेडिंग में क्या अंतर है।
मजबूत सर्विलांस
SEBI को विशेष निगरानी रखनी चाहिए –
- असामान्य ऑक्शन ऑर्डर्स
- प्रतिभागियों का अत्यधिक संकेंद्रण
- बार-बार होने वाला प्राइस डिस्टॉर्शन
- क्लोजिंग प्राइस को प्रभावित करने वाली क्रॉस-मार्केट गतिविधियाँ
- कंटीन्यूअस मार्केट और ऑक्शन प्राइस के बीच लगातार बड़ा अंतर
समय-समय पर अनाम (Anonymised) सर्विलांस रिपोर्ट सार्वजनिक करना भी उपयोगी होगा।
नियमित सार्वजनिक रिपोर्ट
प्रत्येक तिमाही रिपोर्ट में शामिल होना चाहिए –
- ऑक्शन एफिशिएंसी
- लिक्विडिटी ग्रोथ
- प्राइस क्वालिटी
- रिटेल पार्टिसिपेशन
- NSE–BSE कन्वर्जेंस
- सर्विलांस निष्कर्ष
- अंतरराष्ट्रीय तुलना
- आवश्यक नियामकीय सुधार
सुधार तथ्यों के आधार पर होना चाहिए
किसी भी मार्केट सुधार का मूल्यांकन भावनाओं से नहीं, बल्कि आंकड़ों से होना चाहिए।
यदि समय के साथ यह व्यवस्था बेहतर प्राइस डिस्कवरी, मजबूत मार्केट इंटीग्रिटी और निवेशक सुरक्षा साबित करती है, तो इसका स्वागत होना चाहिए।
लेकिन यदि लगातार वोलैटिलिटी, प्राइस डिस्टॉर्शन, घटता रिटेल विश्वास या अन्य अनपेक्षित प्रभाव सामने आते हैं, तो SEBI को आवश्यक संशोधन करने में संकोच नहीं करना चाहिए।
मजबूत नियामक वही होता है जो अनुभव और तथ्यों के आधार पर अपनी नीतियों को लगातार बेहतर बनाता रहे।
निष्कर्ष
भारतीय पूंजी बाजार ने तकनीक, ट्रांसपेरेंसी और मजबूत रेगुलेशन के कारण वैश्विक पहचान बनाई है।
क्लोजिंग ऑक्शन सेशन भी भविष्य में एक महत्वपूर्ण सुधार साबित हो सकता है। लेकिन इसकी सफलता केवल लागू होने से नहीं, बल्कि सभी मार्केट पार्टिसिपेंट्स के विश्वास से तय होगी।
रिटेल इन्वेस्टर्स आधुनिकीकरण का विरोध नहीं कर रहे हैं। वे केवल यह चाहते हैं कि भारत की ऑफिशियल क्लोजिंग प्राइस तकनीकी रूप से सही होने के साथ-साथ निष्पक्ष, पारदर्शी, वास्तविक मार्केट कंसेंसस पर आधारित और सभी निवेशकों के लिए भरोसेमंद भी हो।
SEBI के पास यह विश्वास और मजबूत करने का अवसर है। अधिक ट्रांसपेरेंसी, विस्तृत डेटा, सभी हितधारकों से संवाद और स्वतंत्र पोस्ट-इम्प्लीमेंटेशन समीक्षा इस सुधार को अधिक विश्वसनीय और टिकाऊ बना सकती है।
किसी भी मार्केट सुधार की असली सफलता उसके लागू होने में नहीं, बल्कि हर निवेशक का स्थायी विश्वास जीतने में होती है।
